These terms and conditions (“Terms”) govern your use of tercellogistic.com and the truck dispatching services provided by Tercel Logistic (“Tercel,” “we,” “us,” or “our”) to owner-operators and small fleet carriers (“you,” “carrier”). By using this website, contacting our team, or engaging our dispatch services, you agree to these Terms.

The dispatch service

Tercel provides truck dispatching support, which may include searching for available loads, negotiating rates with brokers and shippers on your behalf, assisting with broker setup and carrier paperwork, and providing ongoing dispatch and driver support during a load. Specific services depend on the dispatch plan you choose, as described on our Services page.

We are a dispatcher, not a broker

Tercel is a dispatch service, not a licensed freight broker or motor carrier. We do not take possession of freight, and we are not a party to the contract of carriage between you and the broker or shipper. Every load we help book is subject to the rate confirmation and terms issued directly by that broker or shipper, and you are responsible for reviewing and accepting those terms before running a load.

Carrier responsibilities

You are responsible for maintaining valid operating authority, insurance, and any licenses or permits required to legally operate your truck. You agree to provide accurate and current information about your equipment, availability, and preferred lanes, and to notify us promptly of any changes. You remain solely responsible for safe operation of your vehicle, compliance with DOT and FMCSA regulations, and the timely delivery of freight.

Dispatch fees and payment

Dispatch fees are a percentage of each load booked, as agreed when you sign up for a plan, and are billed according to the schedule in your dispatch agreement. Brokers and shippers pay you directly for freight; our dispatch fee is invoiced separately and is not deducted from a broker’s payment unless otherwise agreed in writing. Late or disputed payments may result in a pause of dispatch services until resolved.

Independent contractor status

Nothing in these Terms creates an employment, joint venture, partnership, or agency relationship between Tercel and any carrier or driver. You operate as an independent business, and Tercel’s role is limited to the dispatch support described in these Terms.

Cancellation and termination

Either party may end the dispatch relationship at any time by giving reasonable notice, subject to completing any loads already in progress. Fees for loads booked before termination remain due. We may suspend or end services if you provide false information, fail to pay outstanding fees, or violate applicable law.

Limitation of liability

Tercel is not liable for the acts or omissions of brokers, shippers, receivers, or other third parties involved in a load, including cargo loss, damage, or delay. To the fullest extent permitted by law, Tercel’s liability for any claim arising from our dispatch services is limited to the dispatch fees you paid for the load giving rise to the claim.

Use of this website

This website is provided for informational purposes and to help you learn about and contact our dispatch service. You agree not to misuse the site, including attempting to access it through means other than the interface we provide, or submitting false information through the contact form.

Governing law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any disputes arising from these Terms or our dispatch services will be handled in the state or federal courts located in Georgia.

Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continuing to use our dispatch services after a change means you accept the updated Terms.
